Terms of Service.
Version 1.0 — in force from 7 October 2026
These Terms of Service (the “Terms”) govern the relationship between you and Viroan sp. z o.o., including the purchase and use of licences to software offered on the Viroan marketplace. They constitute a binding agreement. By creating an account or completing a purchase, you confirm that you have read and accept them, together with the documents that clause 1.3 makes part of the agreement. They are drafted in plain language as required by applicable consumer law; defined terms have the meaning given in clause 2.4.
1. The parties and the scope of these Terms
1.1. These Terms are concluded with Viroan sp. z o.o., with its registered office at ul. Wielicka 42, lokal B3, 30-552 Kraków, Poland, entered in the Register of Entrepreneurs of the National Court Register under KRS number 0001270651, NIP PL 679-337-75-98, REGON 545853960, share capital PLN 5,000 (paid in full) (“Viroan”). Viroan may be contacted at contact@viroan.com, at support@viroan.com, by telephone at +48 452 750 527, and through the support bot @viroan_support_bot on Telegram. Viroan’s full identification is set out in the Legal Notice.
1.2. Viroan is the seller of every licence sold on the platform. The contract of sale for a Product is concluded solely between you and Viroan; the invoice is issued by Viroan. Each Product is developed by an independent third party (the “Creator”), who is identified on the Product but is not a party to that contract and is not the seller.
1.3. These Terms also constitute the regulamin świadczenia usług drogą elektroniczną (the terms of service for the provision of services by electronic means) within the meaning of Polish law. They apply together with the following documents, which form part of the agreement: the Risk Disclosure (which must be read before any purchase), the Refunds & Withdrawal policy, the Ranking & Paid Placement policy and the Complaints & Dispute Resolution policy; and, for Creators, the Creator Agreement. The Privacy Policy and the Cookie Policy also apply; they inform you how Viroan handles personal data and are not terms you agree to. Each document bears its own version number and effective date. This is version 1.0; previous versions are archived and available on request.
2. Information, consumer status and definitions
2.1. The information you provide on registration and on purchase, and in particular your email address and your country of residence, must be true, complete and current, and you undertake to keep it current. Your declared country of residence determines the territorial availability of a Product and the applicable rate of value added tax (VAT); you must declare the country in which you are genuinely resident. Viroan may corroborate it (for example by reference to the country of your network connection or of your means of payment) and may correct the VAT and the price accordingly before you confirm an order; Viroan does not increase the total of an order you have already concluded without your agreement or without giving you the right to withdraw from that order. A declaration you know to be false is a breach of these Terms (clauses 2.1 and 3.4). This is used for those purposes only and is not a tax declaration beyond them.
2.2. You are a consumer where you act for purposes which are outside your trade, business or profession. The protections which mandatory Polish and European Union consumer law confers on a consumer apply to you in that case and are not affected by these Terms. Trading on your own account does not of itself deprive you of consumer status.
2.3. A natural person conducting a sole proprietorship who concludes a contract that is not of a professional character for that person retains the protection afforded to a consumer and may so declare at the point of purchase. Viroan shall not make the conclusion of a contract conditional upon such a declaration.
2.4. In these Terms: a “Product” means trading-automation software listed by a Creator; a “Version” means a specific build of a Product; a “Licence” means the right granted to you to use a Product; the “Term” means the duration of a Licence; a “Lifetime Licence” means a Licence that has no end date of its own, for which you pay once and whose activation key is renewed free every 3 months for as long as Viroan operates the licensing service; a “Licence for a number of months” means a Licence whose Term is the number of months stated on the Product page and at checkout, and which renews automatically only where you opted in to automatic renewal at checkout (a “renewing Licence”); “Activation” means binding a Licence to the environment in which the Product is run, and the “activation limit” means the number of machines or accounts covered by one Licence; a “Certificate” and the “Gate Score” have the meaning given in clause 8.5; “PROMOTED” denotes paid placement within the meaning of clause 10.
3. Eligibility, the account and your obligations
3.1. Use of the platform is restricted to persons who have attained the age of 18. Viroan may limit the territorial availability of the platform and may refuse to conclude, or may terminate, a contract where required by law or by international sanctions, or where you declare residence in a country excluded under Viroan’s published policy. Viroan makes no representation that the platform is available in every jurisdiction. Termination under this clause does not of itself revoke a Licence already paid for, which is governed by clauses 7.5 and 11.6.
3.2. Registration requires verification of your email address. You may hold one account only, unless Viroan agrees otherwise in writing. You are responsible for maintaining the confidentiality of your access credentials, are encouraged to enable two-factor authentication, and shall notify Viroan without undue delay of any unauthorised access. Opening a further account in order to circumvent a limitation, a restriction or a discount constitutes a breach of these Terms.
3.3. You shall not post or transmit any content that is unlawful, that infringes the rights of a third party, or that is hateful or invasive of privacy, and you shall not interfere with, scrape, or attempt to circumvent the technical measures of the platform.
3.4. You shall not threaten, harass or abuse Viroan’s personnel or other users, and you shall not provide Viroan with information you know to be false.
3.5. Viroan provides support for the platform and for your account by email and within the application; the Telegram facility is an automated bot and is provided in addition to the human channel, and you should not transmit sensitive personal data through it. Support for a particular Product, and the time within which it is given, is the responsibility of its Creator, as stated on the Product page; Viroan does not guarantee a Creator’s response time or a fix (see the Risk Disclosure).
3.6. You may close your account at any time, free of charge, through the account settings. Closure does not terminate Licences already acquired, which continue to be governed by clause 7, and does not affect records which Viroan is required by law to retain, as set out in the Privacy Policy.
3.7. The contact points referred to in clause 1.1 are not operated solely by automated means. Viroan’s point of contact for the authorities under the Digital Services Act is legal@viroan.com, operating in Polish and English. These points of contact are repeated in the Legal Notice.
3.8. You confirm that you are not a person, and are not acting for or located in a territory, that is subject to European Union, Polish, United Nations or other applicable sanctions or export restrictions which would prohibit the supply to you of a Product or of the platform, and that you will not use, export or make a Product available to any person in breach of such measures. If a change in your circumstances makes this untrue, you shall notify Viroan, and clauses 7.1, 7.5 and 11 then apply. This requires nothing of you beyond what those measures themselves require.
3.9. Viroan applies reasonable technical and organisational measures to protect the platform, but no system is entirely secure. In addition to clauses 3.2 and 3.3, you shall not probe, scan or test the security of the platform without Viroan’s prior written permission, and you shall report a vulnerability, or a suspected compromise of your account or of the platform, promptly to security@viroan.com rather than exploit or disclose it. Viroan will not pursue good-faith security research carried out within a permission it has given.
4. Conclusion of the contract, delivery and the platform
4.1. The services comprise access to the marketplace and to Certificates; the purchase of a Licence; the library; the review facility; support for the platform and your account; and, for Creators, the studio, which is governed by the Creator Agreement.
4.2. Use of the platform requires a current web browser with JavaScript enabled, a functioning email address and, for two-factor authentication, an authenticator application. Each Product is further subject to the platform, operating-system and broker requirements stated on its page, which you should review before purchase.
4.3. A contract is concluded as follows: you select a Product, review the order together with its principal characteristics and total price, and confirm the order. The button that completes the order states expressly that the order entails an obligation to pay (in Polish, “Zamawiam z obowiązkiem zapłaty”). You may review and correct the information entered before confirming. The contract is concluded in the language in which you are using the platform; Viroan records the contract, secures it, and makes it available to you in a form you may store and reproduce, and transmits a confirmation by email in accordance with clause 4.5. The content of the contract is not held solely at a web address. Viroan does not apply, and is not bound by, any code of good practice within the meaning of the law on unfair market practices.
4.4. The Licence and any activation key are made available in your library upon completion of payment. If payment is taken and no Licence or key is made available, Viroan shall refund the payment.
4.5. As a consumer you are in principle entitled to withdraw from a distance contract within 14 days without stating any reason. Because a Licence is supplied immediately upon payment, that right is lost only where, prior to supply, you expressly request immediate performance and acknowledge that you thereby lose the right of withdrawal, and Viroan confirms that request and acknowledgement to you on a durable medium. Both confirmations are obtained separately at checkout before payment may be completed, and Viroan transmits the written confirmation, recording the exact wording and version of what you accepted, by email. The loss of the right of withdrawal does not affect your rights where a Product is defective or not as described (clause 8). Separately, Viroan offers a voluntary refund for certain Products within 14 days where the Licence has not been activated; because this depends on Viroan being able to confirm non-activation, it applies only to Products with an online activation check, and not to a Product delivered as an offline key or as source once that key or source has been delivered. The right of withdrawal, the conditions of its loss, the voluntary refund, the model withdrawal form and the online function by which you may withdraw are set out in full in the Refunds & Withdrawal policy.
4.6. Viroan provides the marketplace, the library, the review facility, the studio and support with reasonable care, but does not guarantee that they will be available without interruption or free of error. Viroan may carry out maintenance, of which, where practicable, it gives advance notice, and may change, add or withdraw features of the platform; where such a change is significantly to your detriment Viroan gives reasonable notice, and for a renewing Licence the free-exit right in clause 8.4 applies. This clause concerns the platform, not a Product. Separately, Viroan maintains the delivery and licence-verification infrastructure necessary for a Product you have bought to operate and for you to receive what you paid for; a failure of that infrastructure is governed by clauses 7, 8 and 12, and is not excused by this clause. Nothing in this clause limits your statutory rights.
5. Price, value added tax, currency and payment
5.1. Every price displayed is a total price inclusive of VAT at the rate of your country of residence within the European Union, or at the rate otherwise applicable to the place of supply. The amount displayed before the order is confirmed is the amount charged; VAT is included in that amount and is not added separately.
5.2. Prices are denominated in euro. Payment may be made in euro, United States dollars, Polish złoty or pounds sterling; any conversion displayed is indicative, and the amount displayed before confirmation is the amount charged. Viroan does not accept payment in cryptocurrency.
5.3. Payment is processed by Viroan’s payment service provider, Stripe. Viroan does not receive or store your full card number and does not impose a surcharge for payment by card.
5.4. A Licence is supplied either as a Lifetime Licence or as a Licence for a number of months, as stated on its page. A Licence for a number of months renews automatically at the end of each period, at the price displayed, only where you opted in to automatic renewal at checkout, and then until cancelled; Viroan shall notify you of the renewal date and amount by email in advance of each renewal, and shall not move an existing Licence onto automatic renewal without your express agreement. You may cancel automatic renewal at any time, in one click, from your library. Cancellation prevents the next charge; access continues until the end of the period already paid for, and no further amount is charged thereafter. Cancellation does not constitute a refund of the current period, which is governed by the Refunds & Withdrawal policy. Any change to the price of a renewing Licence shall be notified in advance, shall apply only from a renewal occurring after the notice, and may be declined by cancellation before it takes effect.
5.5. Where a price reduction is announced, Viroan shall display the lowest price applied during the 30 days preceding the reduction. Invoices are issued by Viroan and bear its full identification.
5.6. A renewing Licence is conditional on payment for each period. If a renewal payment fails, Viroan shall notify you and allow a reasonable period in which to provide a valid means of payment, during which access may continue; if payment is not made within that period, Viroan may suspend the Licence and, if it remains unpaid, treat the renewing Licence as cancelled from the end of the last period paid for, with the effect on the Licence set out in clause 7. Viroan shall not suspend a Licence for non-payment where you are lawfully withholding payment on account of a lack of conformity under clause 8. This clause does not apply to a Lifetime Licence or to a Licence for a number of months without automatic renewal, which are paid in full on purchase.
5.7. A statutory refund is always made as money returned to the means of payment you used. Any account credit is a separate, optional discount which you may choose not to apply, and is not a substitute for a refund.
6. Integrity of payment
6.1. Where you reverse a payment through your payment provider in respect of a Product that was delivered to you, and the reversal is not on account of non-delivery or of a defect, Viroan may suspend the Licence obtained by means of that payment; Viroan shall state the reasons, and you may seek review in accordance with clause 11. This does not derogate from any statutory right, and a reversal on account of genuine non-delivery or a defect is never held against you; the burden of showing that a reversal was not a genuine dispute rests on Viroan.
6.2. Where a payment dispute is open before your payment provider in respect of a purchase, any refund request before Viroan in respect of the same purchase is suspended, so that the same amount is not refunded twice.
6.3. Where a price is manifestly incorrect and the error could readily have been recognised by you, Viroan may correct it, upon an immediate full refund and notice to you; failing that, the price displayed stands.
7. The Licence
7.1. Viroan grants you, under the rights obtained from the Creator, a non-exclusive Licence to use the Product acquired, in the Version supplied, on the stated platform (MetaTrader 4 or 5, cTrader, or self-hosted), together with its documentation. The Licence extends to reproduction of the Product to the extent necessary to install, load, display, run, store and back it up on the number of machines or broker accounts stated on the Product page and at checkout, and to use of the documentation, and to no other field of exploitation. The Licence is granted worldwide, save where use would infringe sanctions law or the law of the place of use. A Licence subsists for its Term: a Licence for a number of months for the number of months stated on the Product page and any renewal. A Lifetime Licence has no end date of its own: you pay once, and the activation key is renewed free every 3 months for as long as Viroan operates the licensing service.
7.2. You shall not sell, lend, share, sublicense, rent or otherwise transfer the Licence or any activation key; shall not redistribute or resell the Product; shall not use the Product beyond the activation limit; and shall not circumvent, remove or defeat the licence-verification mechanism.
7.3. Notwithstanding clause 7.2, you retain the rights which the law confers on the lawful user of a computer program and which may not be excluded by contract, namely the making of a back-up copy where necessary, the observation, study and testing of the Product in the course of running it, and its decompilation to the extent strictly necessary to achieve interoperability. Circumvention of the licence-verification mechanism does not fall within these rights.
7.4. The activation limit is a contractual limit; exceeding it is a breach of clause 7.2 even where the technical binding to a particular machine is advisory and a second machine is flagged for review rather than disconnected automatically. Where a Product requires an activation key, the key is issued to you and is limited in time: a MetaTrader Product verifies its Licence online when it starts and continues to operate for up to 72 hours offline before a further verification is required, and ceases to operate where verification cannot be completed or the key has expired; a cTrader key operates offline and expires at the end of its Term or, for a Lifetime Licence, three months after it is issued, after which a new key is obtained in your library at no charge. A new key appears in your library 14 days before the current one expires and we notify you; the current key keeps working until its expiry. For a Lifetime Licence of a MetaTrader Product the signed licence held by the Product is likewise valid for three months and is renewed automatically, at no charge, each time the Product checks in with our licensing server. A key may be re-issued a limited number of times; a reset activates the Licence on a new machine and disables the previous activation. These limits are stated on the Product page and are part of what you buy.
7.5. The suspension or closure of your account does not of itself revoke a Licence already paid for, which continues to operate for the remainder of its Term. Viroan revokes a paid Licence only on a specified ground — payment fraud in respect of that purchase; proven resale or distribution of the Product or its key; use of the Product in furtherance of fraud, market abuse or sanctioned activity; proven evasion of a measure, such as opening a further account to circumvent a ban; or sanctions — and shall state the ground relied upon, with the review in clause 11. Where Viroan revokes a Licence that you can no longer use, Viroan shall refund the unused portion of the amount prepaid. A MetaTrader Product then ceases to start upon its next launch; a cTrader key already issued cannot be recalled and operates until its own expiry.
7.6. Your Licence is intended to survive. Should the arrangement between the Creator and Viroan come to an end, your Licence continues under a direct standing permission from the Creator, so that a dispute upstream of you does not deprive you of the Product.
7.7. Open-source components incorporated in a Product remain subject to their respective licences, as identified in the Product’s documentation.
7.8. Should Viroan cease to operate the platform, it shall use reasonable endeavours, so far as technically possible, to allow each Licence to continue for the remainder of its paid Term — in particular by issuing or extending offline activation keys to the end of the Term for Products whose operation would otherwise depend on Viroan’s servers — and shall give you reasonable advance notice. Where a Product can no longer be made to operate for a Term you have paid for, you are entitled to a refund of the unused portion in accordance with clauses 7.5 and 8.
7.9. Where the contract for a Product comes to an end — because you withdraw from it, because Viroan grants you a refund, or because the contract is terminated (whether by you on account of a lack of conformity or by Viroan on a ground stated in clause 7.5 or clause 11) — the corresponding Licence ends, your right to use that Product ends, you shall cease using it and shall delete the copies of it in your possession and control, and, where it is technically possible, Viroan may disable the Licence. This does not deprive you of any refund or other remedy you are owed, and does not affect a Licence that continues under clause 3.6, 7.6 or 7.8.
8. Conformity, updates, versions and Certificates
8.1. As seller, Viroan is responsible for the conformity of a Product with the contract. A Product conforms where it installs and runs on the stated platform and performs the functions described on its page and in its Certificate. Conformity does not mean that a Product is profitable or produces any particular trading result; a trading loss, or live performance that differs from a backtest, is not of itself a lack of conformity (see the Risk Disclosure and clause 12). Where a Product is not in conformity, you are entitled to the remedies provided by law for digital content — the bringing of the Product into conformity, and thereafter a reduction in price or termination of the contract with a refund — against Viroan, in the order you elect, and these remedies may not be excluded.
8.2. In the case of supply in a single act, a lack of conformity which becomes apparent within two years is covered, and a lack of conformity appearing within one year is presumed to have existed at the time of supply. In the case of continuous supply (a renewing Licence or a time-limited key), conformity is owed throughout the Term. The operation of these presumptions may require you to provide information within your control, such as the MetaTrader journal and the terminal build; the technical requirements of a Product are stated on its page before purchase.
8.3. Viroan shall supply the updates, including security updates, necessary to maintain a Product in conformity, for the Term of a renewing Licence and, in the case of any other Licence, for such period as you may reasonably expect. Any limitation of this obligation stated for a particular Product (for example, “no updates after a stated date” or “tested on build N only”) binds you only where it is stated and separately accepted by you in respect of that Product.
8.4. A Creator may release new Versions. The installation of a new Version is at your election, and you may retain the Version you hold for the remainder of your Licence. Viroan does not modify a Product already supplied save as necessary to maintain conformity; in the case of a renewing Licence, where Viroan makes a change that is significantly to your detriment, you may terminate the contract free of charge within 30 days unless the unmodified Version remains available to you.
8.5. A Certificate records that a specified build of a Product underwent Viroan’s verification procedure on a specified date and states the result of that procedure — the formal and identity check, the static code scan, a backtest on data held by Viroan, a robustness and Monte-Carlo battery, scoring against the limits declared by the Creator, and a decision by a human reviewer — identifying the instruments and timeframes actually tested and the number of combinations that passed. A Certificate does not constitute a forecast, an endorsement, a rating of quality or safety, a regulatory authorisation, or any assurance as to results. The Gate Score describes the behaviour of a build in those tests measured against its own declaration; the applicable thresholds are revised as evidence accumulates, and scores are accordingly not comparable over time. Viroan re-verifies certified Products periodically; a failed re-verification re-opens review and may, after a decision by a human reviewer and a statement of reasons to the Creator, lead to the withdrawal of the listing. A Certificate may change after a purchase; an existing Licence continues to operate, and for a renewing Licence the conformity updates owed under clause 8.3 continue for the paid Term. The terms “certified”, “verified” and “audited” denote verification by Viroan against its own standard, performed independently of the Creator and not by a third-party auditor. The Risk Disclosure contains further provisions and governs in respect of risk.
9. Conduct, content and reviews
9.1. Viroan moderates content published on the platform — reviews, messages and reports — and the Products listed, for legality and for compliance with these Terms. Certain checks are carried out by automated means (keyword detection, the linking of accounts sharing common signals, and internal risk scoring); any moderation measure affecting your account or your content is decided by a natural person. Certain decisions on eligibility to open or hold an account may be taken by automated means alone; where that is so, you have the right to obtain human intervention, to express your point of view and to contest the decision, as described in the Privacy Policy. The outcome of moderation may be a warning, the removal of content, a reduction in ranking, a restriction, or suspension, in accordance with clause 11.
9.2. Any person, whether or not they hold an account, may report content considered to be illegal, by means of a form available on the relevant Product, review or profile, the form for reporting illegal content on the Viroan website, or by email to legal@viroan.com. The report should identify the content, its location and the reason it is considered illegal, and give the reporter’s contact details. Viroan shall confirm receipt, decide without undue delay, communicate the decision and the available redress, and indicate whether automated means were used. Misuse of the reporting facility constitutes a breach. The procedure is set out in the Complaints & Dispute Resolution policy.
9.3. Only a holder of a Licence for a Product may submit a review of it, which is how Viroan seeks to ensure that reviews come from genuine purchasers. A review is checked for legality and for compliance with these Terms before it appears, and not by reference to whether it is favourable; Viroan does not remove or re-order a review on account of its being unfavourable, and every compliant review is published. The average rating shown for a Product is the arithmetic mean of its published reviews. A Creator may not remove a review, and may not purchase, solicit or author one. Viroan may remove or label a review which is shown to be fake, written in bad faith, written by a person who did not genuinely use the Product, or part of an attempt to extort a Creator or to damage a competitor; a review by a purchaser who has withdrawn from the purchase is labelled accordingly, and a withdrawal removes eligibility to review.
9.4. You shall not use the platform’s messaging facility or a Creator’s contact details to divert off the platform a purchase that originated on it.
9.5. You retain ownership of the reviews and other lawful content you post. For that content you grant Viroan a non-exclusive, royalty-free, worldwide licence to host, store, reproduce and display it so far as necessary to provide and secure the feature for which you posted it — in particular to publish a review on the relevant Product and to present that Product elsewhere on the platform — and to keep the records these Terms and the law require. The licence ends when the content is removed, save for records Viroan must retain. You confirm that you hold the rights necessary to post the content and to grant this licence; clause 12.4 applies where you do not.
10. Ranking and paid placement
The catalogue is ordered first by the degree to which a Product matches the search entered, and thereafter by the ordering you select — by default the date of listing, and otherwise by price, Gate Score or user rating. Certain placements are paid and are labelled PROMOTED wherever they appear. A paid placement may raise the position of a Product within the results; it does not affect the Product’s certification, its Gate Score or its reviews. The principal parameters of ranking are set out in full in the Ranking & Paid Placement policy.
11. Restriction, suspension and termination
11.1. Viroan may restrict the functions available to an account, place an account under review, suspend an account (which prevents sign-in), schedule an account for closure, or close an account.
11.2. Such a measure may be taken on the following grounds: law and sanctions; false identity or impersonation; payment fraud and the abuse of chargebacks; a claim of intellectual-property infringement or of disputed authorship; the sharing, resale or circumvention of a Licence; malicious code or an attack on the platform; abuse, harassment or the provision of knowingly false information; or the circumvention of a measure previously applied. Any measure shall be proportionate to the matter concerned.
11.3. Viroan shall as a general approach proceed in gradation — a warning, a limitation, suspension, and closure — with warnings counted separately for each category of breach and acknowledged by you upon your next sign-in. Viroan may, however, move directly to suspension or closure for a serious breach, in particular sanctions, payment fraud, chargeback abuse, the resale or distribution of a Product or key, malicious code, impersonation or an attack on the platform.
11.4. In respect of every measure — the removal of content, a reduction in ranking, a limitation of payments, suspension or closure — Viroan shall provide you with a statement of reasons setting out the facts, the contractual or legal ground, whether automated means were used, the scope and duration of the measure, and the means of redress available to you. Viroan states the specific ground in every case, save where a specific provision of law or an order of a competent authority prohibits its disclosure, or where disclosure would reveal a suspicion of money laundering, terrorist financing or a breach of sanctions law that Viroan has reported to an authority or is bound to keep confidential; in those cases Viroan gives you only the information the law permits, which may be none. This limitation does not apply to an ordinary breach of these Terms, the ground of which is always stated.
11.5. Viroan shall give you at least 15 days’ notice before closing a cost-free account — or any longer period that the law requires, including the notice period due to a business user before Viroan ends the provision of its intermediation service to that user — save where it closes the account for a serious breach (clause 11.3), where the law requires otherwise, or where there is an imminent risk to the platform or to others.
11.6. A restriction or closure does not of itself revoke a Licence already paid for; clause 7.5 applies.
11.7. You may request the review of a measure through support. The route, and the avenues available to you beyond Viroan, are set out in the Complaints & Dispute Resolution policy.
12. Liability
12.1. You bear the risks that are inherent to your position: the risk of the market, the outcome of your own trading, the consequences of the settings you select, the operation of your own equipment, and the acts and omissions of your broker or exchange. Viroan is responsible for the performance of its own obligations, namely the verification it states it has performed, the information it publishes concerning a Product, the operation of the licence and delivery infrastructure, and, as seller, the conformity of a Product with the contract. No element of the platform — whether a Certificate, a Gate Score or any figure — constitutes an assumption by Viroan of the outcome of your trading, and the Risk Disclosure states the position in full.
12.2. A Product runs on third-party software and services which Viroan neither provides nor controls — in particular the MetaTrader or cTrader platform, your operating system, your internet connection, your broker or exchange, and the payment provider — each with its own terms, faults and interruptions. Viroan is responsible for its own functions under clauses 8 and 12.1, but not for the acts, omissions, availability, security or changes of such third parties, nor for a Product’s behaviour caused by them rather than by a lack of conformity for which Viroan is responsible. A link from the platform to a third party is provided for convenience and is not an endorsement. This clause does not affect your statutory rights.
12.3. Viroan is not in breach of these Terms, and is not liable, for a failure or delay in performing an obligation caused by an event beyond its reasonable control — including a failure of power, telecommunications or the internet, a failure or act of a payment, hosting, identity-verification or other third-party provider, an attack on the platform, a natural event, or an act of a public authority — for so long as the event continues and Viroan takes reasonable steps to resume performance. This does not excuse an obligation to refund money you are owed, does not extend to a lack of conformity of a Product, and does not limit your mandatory statutory rights.
12.4. You are responsible to Viroan for loss — including a third party’s reasonable claim against Viroan, and Viroan’s reasonable costs of dealing with it — that results from your breach of these Terms, from content you post that is unlawful or infringes a third party’s rights, or from your unlawful use of a Product or of the platform. This responsibility extends only to loss that is a normal consequence of your act or omission, does not apply to the extent the loss is attributable to Viroan, and does not affect any of your statutory rights.
12.5. Nothing in these Terms limits or excludes any liability which the law does not permit to be limited or excluded, including liability for damage caused intentionally or by gross negligence, liability for personal injury, liability for a defective product, and the mandatory rights conferred on you as a consumer. Such rights prevail, and these Terms do not derogate from them.
13. Viroan’s intellectual property
The platform, its software (including the licence-verification components Viroan supplies), its visual design, text and databases, and the names, logos and marks VIROAN, the Viroan logo, “Certificate” and “Gate Score”, are owned by Viroan or its licensors. These Terms give you no right in them beyond using the platform as permitted. You shall not copy, reproduce, scrape, frame, mirror or create derivative works of the platform, nor decompile it save as clause 7.3 and mandatory law allow, nor use Viroan’s marks, without Viroan’s prior written consent. A Certificate or Gate Score may be cited accurately but not altered, nor presented as your own or as a third party’s assessment. If you send Viroan a suggestion or feedback, Viroan may use it without obligation to you. This clause does not affect your ownership of a review or other content you lawfully post, nor the Creators’ rights in their Products.
14. Amendment of these Terms
Viroan may amend these Terms only on one of the following grounds, and on no other: a change in the law or a binding decision of a competent authority; the introduction of a new feature, Product type or service requiring new provisions; the remediation of a security vulnerability or fraud that has occurred; a change of payment service provider or identity-verification provider; or the correction of a manifest error in the text. Viroan shall give you at least 30 days’ notice of an amendment, by email and within the application, and you may close your account, free of charge, before the amendment takes effect. An amendment does not have retroactive effect in respect of a Licence already acquired, which continues to be governed by the terms on which it was sold. Each version is published with its effective date, and previous versions are retained.
15. Complaints and dispute resolution
A complaint about a Product or the services may be made by email to support@viroan.com or through the complaint facility in the application; no particular form is required. A complaint reaches Viroan, and the statutory period for answering it begins, when it is sent to that address or submitted through that facility. Viroan shall respond to a consumer complaint within 14 days, on a durable medium. A consumer complaint that is not answered within 14 days is deemed to have been accepted; for a complaint about the conformity of a Product (clause 8), acceptance means that Viroan provides the remedy the law allows for the matter complained of under clause 8, and not any other relief that may have been demanded. Your statutory remedies for a defective Product are unaffected. Where Viroan rejects a complaint, it shall state on a durable medium whether it consents to out-of-court dispute resolution and before which body, and if it does not state that it refuses, it is deemed to have consented; you remain entitled to refer the matter to the competent consumer authorities or to the courts. The procedure, and the competent authorities, are set out in the Complaints & Dispute Resolution policy. No link is provided to the European ODR platform, which ceased to operate in July 2025.
16. Governing law, language and jurisdiction
16.1. These Terms are governed by Polish law. Where you are a consumer, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of the country in which you are habitually resident.
16.2. You may bring proceedings before the courts of the country in which you are resident or before the Polish courts; Viroan may bring proceedings against you only before the courts of the country in which you are resident.
16.3. For a consumer who is a Polish citizen and/or resident in Poland, the Polish-language version of this document is binding. In all other cases the English-language version is binding, and any other translation is provided for information only.
17. Final provisions
17.1. Viroan gives you a notice required by these Terms by email to the address registered to your account and, where relevant, within the application; such a notice takes effect when it reaches your email account in a manner enabling you to read it. You keep that address current under clause 2.1, and a notice sent to the address you last provided is effective even if you did not in fact read it, unless Viroan knew that the address had failed. You give Viroan notices to the addresses in clause 1.1. Nothing here requires a notice in a form less favourable to you than the law allows.
17.2. Viroan may transfer this agreement only in connection with a transfer of its business, upon notice to you and your right to terminate free of charge; Viroan otherwise reserves no right of assignment.
17.3. If any provision of these Terms is or becomes invalid, the remaining provisions continue in force.
17.4. A delay or failure by Viroan or by you to exercise a right under these Terms is not a waiver of it, and a single or partial exercise does not prevent its further exercise.
17.5. These Terms and the documents referred to in clause 1.3, together with your order and its confirmation, are the whole of the agreement between you and Viroan for the matters they cover. This does not exclude or limit Viroan’s responsibility for a statement made on a Product page or in a Certificate that forms part of the Product’s description under clause 8, for a statement made fraudulently, or for any liability the law does not permit to be excluded.
17.6. The following survive the closure of your account or the termination of this agreement: Licences already paid for; your rights of refund and of remedy for non-conformity; outstanding payment obligations; the intellectual-property rights of Viroan and of the Creators; the retention of records in accordance with the Privacy Policy; and clauses 12, 13, 16 and this clause 17.
17.7. In the event of inconsistency, the following order of precedence applies: mandatory law; your specific order and its confirmation; these Terms; the Refunds & Withdrawal and Ranking & Paid Placement policies; and Viroan’s other policies — except that, where a clause of these Terms assigns precedence to a particular document for a specific matter (as clause 8.5 does for the Risk Disclosure in respect of risk), that assignment applies. The commercial terms of your order are those captured at the moment of purchase; these Terms and your statutory rights prevail over a listing figure that is manifestly inconsistent with them (clause 6.3).
17.8. No contractual provision shortens a statutory limitation period.
